1. Acceptance of Terms By accessing and using the website ziinmedia.com (the "Site") or engaging with the digital marketing and AI automation services provided by ZiinSoft ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services or website.
2. Services Provided ZiinSoft provides digital marketing, AI automation, lead generation, and consulting services. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without notice. Specific deliverables, timelines, and fees for paid engagements will be outlined in a separate Service Agreement or Statement of Work (SOW) signed by both parties.
3. User Responsibilities By using our Site or services, you agree that:

4. Payments and Billings
Fees: Prices for our services are described in your specific proposal or service agreement.
Payment Terms: Unless otherwise stated, invoices are due upon receipt. We reserve the right to suspend services for accounts that are past due.
Refunds: Due to the nature of digital marketing and labour-intensive services, all sales are final. Refunds are only issued at our sole discretion or as explicitly outlined in your specific Service Agreement.
5. Intellectual Property Rights
Our Content: The Site, including its text, code, graphics, logos, and AI algorithms, is the property of ZiinSoft and is protected by Canadian and international copyright laws.
Client Content: You retain ownership of any materials (images, text, branding) you provide to us for your campaigns. You grant us a non-exclusive license to use these materials solely for the purpose of fulfilling our services to you.
Work Product: Unless otherwise agreed in writing, strategies, ad copy, and automation workflows created by ZiinSoft remain our intellectual property, licensed to you for your internal business use upon full payment.
6. Limitation of Liability To the fullest extent permitted by law, ZiinSoft shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with your use of our services.
No Guarantees: While we strive for excellence, digital marketing results (e.g., rankings, leads, conversion rates) vary based on market conditions and third-party platforms (Google, Meta, etc.). We do not guarantee specific ROI or performance metrics unless explicitly guaranteed in writing.
7. Third-Party Tools and Platforms Our services often rely on third-party platforms (e.g., Facebook Ads Manager, Google Analytics, CRM software). We are not responsible for:
Changes to third-party policies or algorithms that affect your campaigns.
Service interruptions or data breaches occurring on third-party platforms.
Your compliance with the terms of service of these third-party providers.
8. SMS and Communications By providing your phone number, you consent to receive business-related communications from us via SMS. Standard messaging rates may apply. You may opt out at any time by replying STOP, as detailed in our Privacy Policy.
9. International Use The Site and services are controlled and operated from our offices in Toronto, Ontario, Canada.
Compliance: We make no representation that materials on the Site are appropriate or available for use in other locations. Those who access the Site from other locations do so on their own initiative and are responsible for complying with local laws.
GDPR/CCPA: If you are accessing our services from the European Union or California, you acknowledge that your data will be processed in Canada in accordance with our Privacy Policy and applicable Canadian laws.

11. Indemnification You agree to indemnify and hold harmless ZiinSoft, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of your use of our services or your violation of these Terms.
12. Changes to Terms We reserve the right to update these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site or services after any changes constitutes your acceptance of the new Terms.
